Terms of Service

By accessing or using Shimuv (the "Platform"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Platform.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform or other reasonable means. Your continued use after changes become effective means you accept the updated Terms.

You must be at least 13 years old to use the Platform. If you are under 18, you represent that you have permission from a parent or legal guardian to use the Platform.

The Platform is not intended for children under 13. We may restrict features, limit visibility, or require additional safeguards for users under 18.

If you believe a child is using Shimuv without appropriate authorization, please report it at legal@shimuv.com or through in-app reporting (if available).

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

You agree not to create accounts to evade enforcement actions, abuse the Platform, or access features you are not authorized to use.

You may upload, create, generate, or submit content such as audio, recordings, lyrics, metadata, images, and text (collectively, "User Content"). You retain ownership of your User Content as between you and Shimuv, subject to the license you grant below.

License to Shimuv. To operate the Platform, you grant Shimuv a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt (for technical formatting), stream, perform, display, and distribute your User Content solely for:

• providing and operating Platform features you request, including AI processing;
• making your content available to you and (if you choose) to other users;
• moderation, safety, security, and legal compliance; and
• improving Platform performance using aggregated or anonymized data.

This license ends when you delete your User Content or account, except to the extent the content has been shared with others, is required for legal compliance, or is retained in backups for a limited period.

Your responsibilities. You represent that you have all rights necessary to upload and use your User Content, and that it does not violate any laws or third-party rights.

Shimuv uses artificial intelligence to generate and transform audio and related outputs. AI features may produce unexpected results and may not be unique or original.

• AI-generated outputs may resemble existing works
• Shimuv does not guarantee copyright-free or royalty-free results
• You are responsible for verifying rights before commercial use

Shimuv maintains a zero-tolerance policy for pornographic and sexually explicit content. You agree not to create, upload, generate, share, or distribute any prohibited content on the Platform.

Prohibited content includes, but is not limited to:

• Any pornographic, sexually explicit, or erotic content, including nudity or sexual acts, whether real, simulated, illustrated, animated, or AI-generated
• Any sexual content involving minors, including grooming, sexualized language, or depictions of minors in sexual contexts (zero tolerance)
• Sexually suggestive audio, lyrics, titles, descriptions, or metadata intended to arouse
• Fetish content or sexual roleplay
• Hate speech, harassment, threats, or discriminatory content
• Content promoting violence, self-harm, or illegal activity
• Content that exploits, abuses, or endangers others
• Impersonation or misrepresentation of identity
• Spam, scams, phishing, or deceptive practices
• Malware, hacking attempts, scraping, or platform abuse
• Automated activity (bots or scripts) without written permission

Violations of this section may result in immediate content removal, account suspension or termination, loss of access to features, and reporting to law enforcement or appropriate authorities where required by law.

Shimuv actively enforces its zero-tolerance policies using automated systems and human review. Content may be scanned at upload or after publication to detect sexually explicit material, child exploitation, abuse, or other prohibited content.

We may take enforcement action at our discretion, including warnings, content removal, restrictions, suspensions, or permanent bans. We may also preserve information as required for safety or legal reasons.

Shimuv respects intellectual property rights. If you believe content on Shimuv infringes your copyright, you may submit a takedown notice. Repeat infringers may be terminated.

DMCA notices and related requests should be sent to legal@shimuv.com. We may request additional information to process claims.

Shimuv may develop creator earnings, rewards, or monetization features in the future. At this time, creator earnings are not active and no revenue, royalties, or compensation are owed for content created or uploaded on the Platform.

Any future monetization features are not guaranteed and may be changed, delayed, suspended, or removed. Eligibility criteria and payout rules (if any) will be described in separate terms or program rules.

If the Platform offers paid features, you agree to pay applicable fees and taxes. Payments are processed by third-party providers, and additional terms may apply.

Refund eligibility (if any) will be described in our billing or refund policy, which may be provided within the Platform.

We may modify, suspend, or discontinue any part of the Platform at any time. We do not guarantee that any feature will always be available.

We may terminate or suspend your access if you violate these Terms or create risk for Shimuv or others.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." SHIMUV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Shimuv does not guarantee uninterrupted operation, error-free results, or that outputs will meet your expectations.

TO THE FULLEST EXTENT PERMITTED BY LAW, SHIMUV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SHIMUV'S TOTAL LIABILITY FOR ANY CLAIM EXCEED THE AMOUNT YOU PAID TO SHIMUV IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify, defend, and hold harmless Shimuv and its affiliates from any claims, damages, losses, liabilities, and expenses arising out of or related to:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your infringement of any third-party rights

You agree to attempt to resolve disputes informally by contacting us at legal@shimuv.com before filing a claim.

If informal resolution fails, disputes may be resolved through binding arbitration on an individual basis, and you waive any right to participate in a class action, to the extent permitted by law.

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. You agree that any permitted court proceedings will take place in San Francisco County, California.
